Moonbow Technologies agrees to provide services as outlined in the project proposal or agreement signed by both parties. Any additional services requested by the client may incur additional charges and require a separate agreement.
The client acknowledges and agrees to provide all necessary information, materials, and approvals required for the project in a timely manner. Delays caused by the client may impact project timelines and deliverables. Moonbow Technologies shall not be responsible for the accuracy, legality, or appropriateness of any images, content, videos, or other materials provided by the client for use in the project. The client is solely responsible for ensuring that all content provided complies with applicable laws and regulations, including copyright, trademark, and intellectual property rights. Any claims or liabilities arising from the use of client-provided content are the sole responsibility of the client, and Moonbow Technologies shall not be held liable for such claims.
Moonbow Technologies will make reasonable efforts to complete the project within the agreed-upon timeline. However, unforeseen circumstances or changes requested by the client may affect project deadlines, and Moonbow Technologies shall not be held liable for such delays.
The client agrees to pay Moonbow Technologies the agreed-upon fees for services rendered. Payment terms, including deposit requirements, milestone payments, and final payment deadlines, will be specified in the project agreement.
Upon full payment, the client will own the intellectual property rights to the final deliverables created by Moonbow Technologies, unless otherwise specified in the project agreement. Moonbow Technologies retains the right to use project materials for promotional purposes.
The client is entitled to a specified number of revisions or changes as outlined in the project agreement. Additional revisions or major changes requested by the client may incur additional fees and extend project timelines.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes but is not limited to business strategies, trade secrets, and project details.
Either party may terminate the services with written notice if the other party breaches the terms of the agreement. In such cases, Moonbow Technologies will be compensated for work completed up to the termination date.
Moonbow Technologies' liability for any damages arising from the services provided shall be limited to the fees paid by the client for those services. Moonbow Technologies shall not be liable for any consequential, incidental, or indirect damages.
These Terms & Conditions are governed by the laws of [Your Jurisdiction], and any disputes arising from the services provided shall be resolved through arbitration in accordance with the rules of [Arbitration Organization].
The client acknowledges that the ownership of the original design concepts, drafts, and working files remains with Moonbow Technologies unless otherwise specified in writing. The client may not reproduce, modify, or distribute the design files without prior consent from Moonbow Technologies.
Moonbow Technologies guarantees that all original graphic design works created for the client do not infringe upon the intellectual property rights of any third party. However, Moonbow Technologies shall not be responsible for verifying the originality or copyright status of client-provided materials.
The client agrees to indemnify and hold Moonbow Technologies harmless against any claims, damages, or liabilities arising from copyright infringement or other intellectual property disputes related to the client-provided materials used in the graphic design works. This includes legal fees and costs incurred in defending against such claims.
The client represents and warrants that they have obtained all necessary permissions, licenses, and clearances for the use of any third-party images, videos, or other copyrighted materials provided for inclusion in the graphic design works. Moonbow Technologies reserves the right to request proof of copyright clearance for any materials provided by the client.
The client acknowledges and agrees that any images, videos, text, or other materials provided by the client for use in graphic design projects are the responsibility of the client in terms of copyright, trademark, and intellectual property rights. Moonbow Technologies shall not be held liable for any copyright infringement or claims arising from the use of client-provided materials in the design process.
